Spotify and SoundCloud promotion

1. Definitions


Sonic Mud Records: Sonic Mud Records ltd.

Client: Person or party who has purchased a service on www.sonicmudrecords.com

Playlists: Lists on Spotify which include tracks and are followed by a certain number of Spotify users.

Channels: Profile channel on the SoundCloud application/website. 

Curator: Person or party who own one or more Playlists on the Spotify application or channels on the SoundCloud application.

Campaign: Service where one or more Curators are contacted in order to have the Client's music added to their Playlists or Channels.

Campaign Start Confirmation: Email from Sonic Mud Records to the Client stating that the Campaign has started.

Follower Size: Total amount of Spotify users who are following one or more playlists on the Spotify application in which Sonic Mud Records is being paid to recommend the Clients music to be added to.

Channel Reach: Number of users that a SoundCloud channel reaches.

Delivery Time: Amount of days which Sonic Mud Records ltd. will aim to receive Playlist placements or a Channel Reach for the Client.

3. Process


Sonic Mud Records do not pay Curators to get placements, Sonic Mud Records does pay the Curators a small fee for listening to the Client music track. Sonic Mud Records will continue this process until the total amount of placements will reach the Follower Size or Channel Reach the Client has paid for is achieved. Sonic Mud Records does not guarantee any kind of results but guarantees that will professionally pitch the Clients music to the Curators in the view of getting the Clients music Playlists/Channels placements. Therefore, Sonic Mud Records fully comply with the terms of Spotify and SoundCloud. Sonic Mud Records strives to keep a database of Curators of real and organically created Playlists/Channels.


4. Delivery Time


The Delivery Time starts at the moment that the Client receives the Campaign Start Confirmation from the Sonic Mud Records. The Campaign Start Confirmation will include a proof of starting the Campaign. This proof comes in the form of the names or URLs of the Playlists/Channels. The Client will receive the personal response from Sonic Mud Records after receiving the automatic order reply normally within 3 to 5 days.


5. Refunds


The Client can request and will comply for a full refund only if the Campaign has not yet started (The Client has not received a personal confirmation email from one of the Sonic Mud Records team members). If the campaign has started already, which means the Client's track has been pitched to Curators or received Playlists placements or Channel reposts already, the Client is unable to apply for a refund. If the Client is unsatisfied after receiving the service, the Client can ask Sonic Mud Records for an appropriate solution. Sonic Mud Records will assess the nature of the complaint and add more pitches if it is demonstraded that the service had unusual poor results, but is not obligated to do so. In the situation of a complaint resolution, the service becames non-refundable.


6. Limitation of Liability


Subject to clause 5 Sonic Mud Records shall not in any circumstances be liable to the Client in respect of any loss of profits, loss of contracts, loss of revenue or goodwill; or any type of special, indirect or consequential loss, business interruption or loss of or damage to business information or data whether in contract, tort (including but not limited to negligence) or otherwise and whether or not suffered as a result of an action brought by a third party, even if such loss was reasonably foreseeable or the Client had been advised at any time of the possibility of the Client incurring the same.

For the avoidance of doubt, Sonic Mud Records shall not be liable to the Client or be deemed to be in breach of these Terms and Conditions by reason of any delay in performing, or any failure to perform, any of its obligations under these Terms and Conditions, if the delay or failure was due to any cause beyond Sonic Mud Records’ control, due to any instructions given by the Client or in any delay caused by the Client.

Sonic Mud Records shall not be responsible in contract or in tort (including, but not limited to, negligence) or otherwise for the unauthorised access to, or alteration, theft or destruction of emails, files, programs, or information of the Client by any person (other than Sonic Mud Records) through accident or by fraudulent means or devices where Sonic Mud Records has exercised that degree of skill, diligence, prudence and foresight which, as at the relevant time, would reasonably and ordinarily be expected from a skilled and experienced supplier of information technology services seeking in good faith to comply with its contractual obligations in providing the Services to prevent such activities.

Sonic Mud Records shall have no liability if third party products breach, infringe or make unauthorised use of any third party rights, save to the extent that Sonic Mud Records knew, or should reasonably have known, of such infringement or unauthorised use at the time it sub-licensed such third party products to the Client.

Save as expressly set out herein all conditions, warranties, terms and undertakings express or implied statutory or otherwise (including, without limitation, as to fitness for purpose or satisfactory quality) in respect of the Campaign or any products provided pursuant to the Campaign are hereby excluded except to the extent to which it is unlawful to exclude such liability.

Nothing in these Terms and Conditions shall confer any right or remedy upon the Client to which it would not otherwise be entitled.

The limitations and exclusions of liability in these Terms and Conditions shall survive termination of these Terms and Conditions.


7. Termination


Where a contract is for the provision of the Campaign over a period of time, a contract may be terminated by either party giving to the other one month’s written notice provided always that if the Client terminates the contract he shall: pay immediately all outstanding sums due to Sonic Mud Records; be responsible for all costs and expenses incurred to Sonic Mud Records in respect of any uncompleted service and be liable for the contract fees, whether or not activity is required from Sonic Mud Records to the Client; accept and pay invoices from Sonic Mud Records calculated at the contract rate in respect of any completed Campaigns or patially completed; discharge any liability of Sonic Mud Records to third parties incurred in relation to any Campaigns originally envisaged pursuant to the Client’s initial instructions.

Provide any notice required or permitted under the terms of these Terms and Conditions or required by statute, law or regulation shall (unless otherwise provided) in writing marked for the attention of the Managing Director. Any notification to any other employee of Sonic Mud Records shall not be effective. Subject to the other provisions of the clause 5 these Terms and Conditions shall commence on the date of order.


8. Indemnity


The Client shall indemnify Sonic Mud Records in respect of all damage or injury occurring to any person, firm, company or property and against all actions, suits, claims, demands, charges or expenses in connection there with for which Sonic Mud Records may become liable in respect of any breach of this Terms and Conditions or in respect of the Campaigns sold under any contract. In particular, it is stressed that the Client is responsible for all copy, slogans, words or methods supplied or suggested by himself/herself to Sonic Mud Records, and also such items approved by himself/herself after suggestion by Sonic Mud Records and therefore such indemnity shall extend to claims for copywriter or patent infringement, libel or other defamation.


9. Waiver of Remedies


No forbearance, delay or indulgence by either party in enforcing the provisions of these Terms and Conditions shall prejudice or restrict the rights of that party nor shall any waiver of its rights operate as a waiver of any subsequent breach and no right, power or remedy herein conferred upon or reserved for either party is exclusive of any other right, power or remedy available to that party and each such right, power or remedy shall be cumulative.


10. Reflection time


Sonic Mud Records reserves the right of 7 days of reflection time. Sonic Mud Records is in its right to refuse/deny any track for a Campaign if it comes to a conclusion that the track is not suitable or inapropriate for a Campaign by any means it considers significant. These 7 days start from the moment Sonic Mud Records has received the payment for a specific Campaign. 


11. Response


By placing an order, the Client agrees to wait from 2 to 5 business working days (Monday to Friday) for the Campaign Start Confirmation. If the Campaign Start Confirmation is not received for any reason during this period, the Client must request an order status update via the email address musicpromotion@sonicmudrecords.com before any other proceedings, as Sonic Mud Records is not responsible for any email services malfunctioning or refusal. 


12. Marketing Communications


By using any contact forms at www.sonicmudrecords.com you agree that contact forms may be used to collect your email address, your personal name and your customized data for email marketing purposes. The Client can unsubscribe anytime to Sonic Mud Records email communications by clicking 'Unsubscribe' at the bottom of the email. 


13. Marketing Purposes


By using any services from Sonic Mud Records, you agree to the fact that your Campaign results may be used for marketing purposes.


14. Service order


The Client agrees to submit a Spotify or SoundCloud (respectively to the service order) track URL which is available worlwide. If this is not provided, Sonic Mud Records reserves the right to hold the payment until the track URL provided will be available worldwide. In case the Client does not submit a track URL which is available worldwide within the period of 30 days, Sonic Mud Records will refund the payment within 30 days after this 30 days period expires and after the Client's request via email. If the campaign has already started, the terms of the clause 6 of this Terms and Conditions apply.


16. Governing law


The laws of England apply to these Terms and Conditions.
